This Regular First Appeal before the Delhi High Court arose from a dispute over the dissolution of a photography partnership firm called 'Mona Studio', operated from Shop Nos. 7 and 8, Esplanade Road, Chandni Chowk, Delhi. The original plaintiff (Sewa Ram, since deceased, represented by his legal representatives) was a 50% sleeping partner, while the defendants held 25% each and managed the business; the partnership deed stipulated a fixed tenure of ten years from 3rd August 1989. The defendants contended that an Ikrarnama/MoU dated 29th April 1995 had been executed by the original plaintiff, under which, upon failure to repay an alleged loan of Rs. 10,15,940/-, he would cease to be a partner and surrender his tenancy rights in the suit property to the defendants. The Trial Court found that the defendants failed to prove the execution of the Ikrarnama/MoU (as no attesting witnesses were examined) and that the alleged loan transactions were not reflected in partnership accounts or income tax returns, and accordingly passed a preliminary decree for rendition of accounts and a mandatory injunction directing handover of possession of the suit property to the legal representatives of the original plaintiff. The High Court recorded the submissions of both parties and the matter was under consideration, with an interim direction requiring the appellant to pay Rs. 25,000/- per month to the respondents pending the appeal.
